In the end, Ultimate Spider-Man was the only redeamable mag of the bunch.
That being said, the following are the mistakes that crushed reader interest in the book (for me anyway)
1. In the last 7-8 there were only 28-30 (aprox) issues published. I actually called because I thought they were getting lost in the mail. There have got to be people out there who would jump at the chance to retcon these heroes in the original vision of the Ultimate universe and get the issues out on a timely basis. That's just good business.
2. They didn't take their time developing the characters. The Ult X-Men threw way too many people into the mix early on. (That was the problem with the last X-Men movie too) I was reading X-Men in the late 70's and early 80's and remember when new 'members' only came around every 20-30 issues or so. About 33 issues or so passed between Kitty Pryde and Rougue coming on board. You got to know those characters as a unit. Ultimate Spider Man actually handled this pretty well.
3. It became too much like the 616 Universe. After the Annihilus story in the UFF, the stories hardly differed at all from the mainstream stories. That goes for the Ultimates as well. U3 might as well have been the Avengers. Ult X-Men started looking too familiar after the Hellfire Club saga.
4. On a personal note, I'm a big Defenders fan, and they totally dropped the ball for the Ultimate Defenders. They could have at least spoofed the Champions and made the U-Df cool.
I hate to see it go, but it was fun (at the beginning at least) while it lasted.
